1. Acceptance of the Terms and Conditions - these terms apply to all active clients and are updated periodically on our website. Please review.

Thank you for your trust and your business. We are excited to support you on your website build. Please review and accept the terms of our agreement. The terms of your initial site build are provided to you via a signed agreement. You will be asked to sign and approve your live site and Stage Door Designs will countersign the agreement. Other terms follow:

Copyright Usage

The rights granted to the Client are for the usage of the Final Design in its original form only. If the client modifies the site design or code, this agreement is null and void. Duration of use is limited to the time in which Stage Door Designs is hosting the site and your account is paid in full and in good standing. All other rights are to be negotiated separately.

Duration of Use is limited to the time in which Stage Door Designs is hosting the site and your account is paid in full and in good standing. If your site is on another platform (ie: Squarespace), there is no limitation to the duration of use.

Fees and Payments will be outlined in your quote, estimate, and invoice and will outline fees for building, hosting and maintaining the site. Domain renewals must be paid in advance of the renewal unless otherwise arranged. Non payment will result in the domain expiring. If you hold your own domain name you will be asked to sign a separate agreement acknowledging your responsibility for keeping it renewed. Hosting fees are due annually. Hosting must be paid to either Stage Door Designs or Squarespace. Other hosting packages are not accepted unless otherwise arranged.

Other Terms

1. Domain Names may be purchased by you or by Stage Door Designs. Should you wish to buy and maintain your own domain, you will be asked to provide access so we can connect your site to your web address. You may set this IP address yourself if you prefer. Domains are also available for purchase through us. You may elect to have us purchase and hold your domain in our account (additional charges may apply). If we do not hold your domain that may be an additional fee to troubleshoot issues related to domain settings. If you hold your own domains, we will ask you to sign a secondary agreement related to holding your own domain. This agreement outlines that you will be responsible for maintaining your domain as we are never notified of site issues when the domain is not in our control.

2. Content Sharing and Delivery: Upon agreement to work together, Stage Door Designs will provide access to a Dropbox folder for sharing media and other content. The client must maintain copies of your media in your own source files as we may alter and change the media for use on the site. If a client elects to use another method for transferring files and media, additional charges may apply. This does not apply to DIY sites.

3. The client agrees to complete questionnaires that will provide info on their desires for the site. Once a questionnaire or web planner is complete, Stage Door Designs will schedule a call to review materials and set a timeline for the build.

4. The client will be provided with a proof link to review the site during the build process. The client will also be given access to a portal that will hold all questionnaires, estimates, invoices, and contract documents.

5. Once the site is complete and approved by the client, it will be set live for final testing. The client then has 10 business days to review for minor changes and corrections. If design edits or additional pages or elements are requested during this time, there may be additional fees. At that time the site will be locked and future changes will be billed based on the time involved.

If you are building your site (DIY), Stage Door Designs will review and make recommendations during the agreed upon one-hour call.

6. Media and Content Terms: Clients must provide all media content in the format requested by the provider in the following list. Conversion charges may apply to certain formats. If additional work is required to edit, improve, or change the quality of media in any way, there may be an additional charge.

Right to Use – The client warrants that they have the right to use all content and holds Stage Door Designs harmless for any issues related to copyright. If Stage Door Designs is notified of a copyright issue, we reserve the right to remove the media from the site.

Playlists and Players – Stage Door Designs reserves the right to use third-party providers to share media including photos, video clips, audio files, press feeds, and more. Should a third-party provider cease to exist or provide particular services, Stage Door Designs will notify you and provide you with options for replacement. Depending on the option you select, and your update package, there may be a fee involved. For video sharing, we recommend the use of your own YouTube or VIMEO channel as the best vehicle for sharing media.

Photographs should be provided in hi-res retouched JPG format. HEIC is not preferred.

Video must be provided in YouTube or VIMEO format and will be used as provided.

Audio clips must be provided in mp3 format. We can also embed from a third-party app.

Photo Captions if included in your package must be provided in writing and be keyed to the image numbers to which they belong. Spelling, grammar, and punctuation are the responsibility of the client.

Copy or other text should be uploaded using a Word document. Spelling, grammar, and punctuation are the responsibility of the client.

Other files may be provided in connection with the build. If they are other than the aforementioned types, please consult with us about delivery, format and additional fees.

File Editing and Conversion services are available at an additional cost unless included in your quote and invoice. This includes Retouching, or special cropping, video editing or reel creation, and file conversion to a web-friendly format.

7. Mobile Response - sites built by Stage Door Designs are mobile-friendly and will automatically respond to mobile devices (phones and tablets). If you want a unique design for your mobile site, there will be an additional charge for the redesign of that site.

8. Search Engine Optimization - all non-DIY sites come with basic SEO. This means that we will ask for you to provide a short description of your site.

Non Searchable sites/pages - If you prefer, your site can be set as non-searchable. If this is your desire, please communicate it to us before going live.

Advanced SEO is available at an additional cost. Please inquire for an estimate.

Google Analytics is available at additional costs.

The nature of 'search' will cause photos, images, and files to appear in a browser search. This is the case for Google and other search engines. Stage Door Designs is not responsible for removing items from a search at any time.

DIY site SEO will be added by the client unless otherwise agreed.

9. Newsletter List - all clients will be added to our newsletter list so that we can communicate with you. If you prefer to be excluded from this list, please opt-out using the mechanism provided in a newsletter received by you.

10. Account Termination – you may elect at any time to terminate your site. Before termination, all outstanding invoices must be paid in full. Stage Door Designs will not keep media in the archive unless you request the same in writing and pay an annual site hold fee. This fee does not include the renewal of any domain names held by us. Accounts on paid hold can be reinstated at any time. If new features or upgrades are requested, there may be an added fee. Media will be purged after 90 days of non-payment if your account has been terminated and we are unable to reach you.

11. Transfer and Delivery of Media files to a client at any time may incur an additional fee, which will be quoted at the time of transfer based on the scope of work and time involved.

12. Reservation of Rights: the designer retains all rights not expressly granted above. Any use other than that must be pre-arranged in writing and may require a separate contract and/or fee. Once the site is live, the client will be given the option for back-end access. At this time client may revise the content of the site. If the client revises the site in such a way that it no longer meets acceptable web standards or requires restoration in any way, there will be a fee for the time involved to correct the site. Clients who request their own login for update access will be asked to sign an agreement outlining this arrangement.

13. Revisions on non-DIY sites: only the Designer may make Revisions at the Preliminary Design phase. Additional fees will be charged for revisions made after three preliminary design revisions and for additions to the project scope.

14. Payment Schedule: 50% of initial estimate upon project commencement, remaining upon project completion. Additional deposits may be required if the nature or scope of the project changes. We accept Visa, MasterCard, American Express, or check. If you wish to use PayPal, VENMO, Zelle, or another payment service, please contact us in advance of sending payment. If monthly hosting is requested, the client must provide a credit card for auto-billing. Returned checks are subject to a $50 return check fee. DIY sites are bound by the terms outlined on your invoice.

15. Payment Terms: Payment is due net 15 days from the issuance of the invoice unless otherwise indicated. A 1.5% monthly service charge will be billed against late payments. Grant of copyright is conditioned upon receipt of final payment, and the Client's compliance with the terms of this agreement.

16. Quotes: include the basic design or pre-designed work unless specified. Additional graphic design work may incur fees. For custom work, a maximum of three ideas is included in the price. Additional concepts are subject to our hourly rate.

17. Cancellation Fees: In the event of Cancellation during the design phase, the designer will be compensated for services performed through the date of cancellation in the amount of a prorated portion of the fees due. Upon cancellation, all rights to the website revert to the Designer, and all original art must be returned, including sketches, comps, or other preliminary materials.

18. Credits and Promotion: A credit line suitable for the design of the pages will be used. The client agrees to pay an additional fee (to be determined) for failure to include a credit line. The designer reserves the right to include screenshots of the completed work in their portfolio in perpetuity.

19. Preliminary Works: The designer retains all rights in and to all Preliminary Designs. Client shall return all Preliminary Designs to Designer within thirty (30) days of completion of the project and all rights in and to any Preliminary Designs shall remain the exclusive property of Designer. Designs and graphics created by the client are the property of same.

20. Permissions and Releases: The Client agrees to indemnify and hold the Designer harmless against any claims, costs, and expenses, including attorney's fees, due to materials included in the Design at the request of the Client for which no copyright permission or privacy release was requested, or for which uses exceed the uses allowed under permission or release.

21. Miscellaneous: This Agreement shall be binding upon the parties, their heirs, successors, assigns, and personal representatives. This Agreement constitutes the entire understanding of the parties. Its terms can be modified only by a written agreement signed by both parties. Clients authorize expenses or revisions orally. Any dispute arising out of this agreement will be resolved by negotiation between the parties. If they are unable to resolve the dispute, either party may commence mediation and/ or binding arbitration through the American Arbitration Association. A waiver of a breach of any of the provisions of this Agreement shall not be construed as a continuing waiver of other breaches of the same or other provisions. This Agreement shall be governed by the laws of the State of New York and courts of such state shall have exclusive jurisdiction and venue.

22. Limits of Liability: The client agrees to limit liability to the cost of the website build part of the agreement with Stage Door Designs (this does not include any hosting costs).

23. Other Services can be added to your site during or after the build. Additional costs associated with extra services or features will be quoted or estimated and billed when ordered.

24. Website Hosting, Maintenance & Updates: Hosting is either paid directly to Stage Door Designs or to another provider (ex: Squarespace). Stage Door Designs collects hosting annually. Pricing will be outlined in your quote. Clients who are past due on hosting should expect that their site will be taken offline until payment is received. A reset charge may also apply.

Most Stage Door Designs websites have access to the back end for you to update yourself. If you would like this feature and do not currently have it, please contact us for details.

NOTE: If you elect to set up your own account in Weebly, Squarespace, or WIX or you will be required to pay your own hosting fees directly to those companies. Sites cannot be hosted using third-party hosting services (ie: GoDaddy, Bluehost, Hostgator, Hubspot, etc.)

25. Pricing Acceptance - acceptance of this agreement implies acceptance of the pricing outlined in your quote, estimate, and/or invoice. Please review these details before signing the agreement.

26. Pricing may be reviewed for updates at any time. Clients will receive notification of pricing changes 30 days in advance of any change.

27. Site Transfer: Sites hosted by Stage Door Designs may not be transferred to non-Stage Door Designs hosting unless otherwise agreed in writing in advance of the build. Transfers of this nature can be done, however, there may be a fee involved for rebuilding the site in your private account.
